Terms of Service

1. Introduction and acceptance of terms
These Terms of Service (“Terms”) govern the provision of security services by Apex Shield Security Ltd (“Apex Shield Security Ltd”, “we”, “us”, or “our”) to any client, customer, or other party engaging our services (“you” or “Client”). By requesting, booking, confirming, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not use or rely on our services. Any additional terms proposed by you shall only apply if expressly accepted in writing by Apex Shield Security Ltd.
2. Scope of services
Apex Shield Security Ltd provides professional security services, which may include, without limitation:
- Manned guarding
- Mobile patrol services
- Event security management
- Access control and front-of-house security
- CCTV monitoring support
- Key holding and alarm response
All services are provided subject to availability, site-specific requirements, risk assessments, operational instructions, and any written service agreement, quotation, schedule, assignment instructions, or statement of work agreed between the parties.
We may refuse, suspend, or withdraw services where we reasonably consider that continuing to provide services would be unsafe, unlawful, impracticable, or contrary to our policies, licence obligations, or professional standards.
Unless expressly agreed in writing, our services do not include policing powers, legal advice, fire safety certification, emergency medical services, or any guarantee that crime, loss, damage, trespass, or disruption will be prevented.
3. User obligations and responsibilities
You agree to:
- Provide accurate, complete, and timely information necessary for us to perform the services safely and effectively.
- Ensure that the site, venue, premises, or event is lawful, safe, and suitable for the agreed services.
- Obtain and maintain all permits, licences, consents, and approvals required for the event or premises, unless otherwise agreed in writing.
- Cooperate with our personnel and follow reasonable security instructions, site rules, and access procedures.
- Provide a safe working environment, including adequate lighting, access, welfare facilities, and any required emergency information.
- Inform us promptly of any hazards, incidents, threats, changes in circumstances, or special requirements that may affect service delivery.
- Not interfere with, obstruct, threaten, or abuse our personnel, equipment, or operations.
- Ensure that your staff, guests, contractors, and attendees comply with applicable laws and site rules.
You are responsible for the conduct of your employees, guests, contractors, and visitors, and for any loss or damage caused by their acts or omissions, except to the extent caused directly by our proven negligence or wilful misconduct.
You must not request our personnel to perform tasks outside the agreed scope, including unlawful acts, discriminatory conduct, or actions that would place our personnel at unreasonable risk.
4. Payment terms and conditions
Fees for our services will be set out in our quotation, contract, invoice, or other written agreement. Unless otherwise stated, all fees are exclusive of VAT and any other applicable taxes, duties, levies, or charges.
- Invoices are payable within the period stated on the invoice or, if no period is stated, within 14 days of the invoice date.
- We may require a deposit, advance payment, or retainer before services commence.
- Additional charges may apply for overtime, emergency call-outs, unsocial hours, travel, equipment hire, replacement personnel, extended deployments, or changes requested by you.
- If payment is not received on time, we may suspend services, charge interest on overdue sums at the statutory rate, and recover reasonable debt collection and enforcement costs.
- You may not withhold, set off, or deduct amounts from any invoice unless required by law or expressly agreed in writing by Apex Shield Security Ltd.
Any estimate or quotation is based on the information available at the time and may be revised if the scope, risk profile, venue conditions, or operational requirements change.
5. Cancellation and refund policy
Cancellation terms will be specified in the relevant booking confirmation or service agreement. If no specific cancellation terms apply, the following shall govern:
- Cancellations made more than 14 days before the scheduled start date may be eligible for a refund of prepaid fees, less any non-recoverable costs and administrative charges.
- Cancellations made between 7 and 14 days before the scheduled start date may result in a partial refund only, at our discretion, after deduction of reasonable preparation and staffing costs.
- Cancellations made less than 7 days before the scheduled start date, or after deployment has begun, are generally non-refundable.
- If services are cancelled or curtailed due to your breach, unsafe conditions, unlawful activity, or failure to cooperate, no refund will be due for the affected period, and you remain liable for costs incurred.
Refunds, where approved, will be processed using the original payment method within a reasonable period. Any refund does not affect our right to recover unpaid fees, cancellation charges, or damages arising from your breach.
6. Liability limitations
Nothing in these Terms excludes or limits liability where it would be unlawful to do so, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded under applicable law.
Subject to the foregoing, Apex Shield Security Ltd shall not be liable for:
- Indirect, incidental, special, consequential, or punitive losses;
- Loss of profit, loss of business, loss of goodwill, loss of opportunity, or loss of anticipated savings;
- Loss or corruption of data, unless caused by our proven negligence and to the extent not otherwise excluded by law;
- Any loss arising from inaccurate information supplied by you or third parties;
- Any loss caused by events outside our reasonable control.
To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the services, whether in contract, tort, negligence, breach of statutory duty, or otherwise, shall be limited to the total fees paid or payable by you for the specific services giving rise to the claim during the three-month period immediately preceding the event giving rise to the claim, unless a different cap is expressly agreed in writing.
You acknowledge that security services reduce risk but do not eliminate it, and that no security provider can guarantee prevention of all incidents, theft, damage, trespass, or disorder.
7. Intellectual property rights
All intellectual property rights in our materials, reports, procedures, templates, training content, branding, logos, documentation, and operational methods remain the property of Apex Shield Security Ltd or our licensors, unless otherwise agreed in writing.
You are granted a limited, non-exclusive, non-transferable licence to use any deliverables or materials supplied by us solely for the purpose of receiving and using the contracted services. You must not copy, reproduce, modify, distribute, reverse engineer, or exploit our intellectual property without our prior written consent.
Any feedback, suggestions, or improvements you provide may be used by us without restriction or compensation, provided that we do not disclose your confidential information unlawfully.
8. Data protection and privacy
We will process personal data in accordance with applicable data protection laws and our privacy practices. In providing security services, we may collect, use, store, and share personal data where necessary for service delivery, incident management, access control, CCTV support, key holding, alarm response, compliance, safety, and legitimate business purposes.
You acknowledge that our services may involve the handling of personal data relating to your staff, visitors, contractors, customers, and members of the public. Where required, you shall ensure that you have a lawful basis to share such data with us and that appropriate notices are provided to affected individuals.
We may retain incident logs, reports, access records, and related documentation for as long as reasonably necessary for operational, legal, regulatory, insurance, or evidential purposes.
Where CCTV monitoring support is provided, you are responsible for ensuring that the CCTV system is lawfully installed, operated, and signposted, and that any required registrations, notices, and policies are in place unless otherwise agreed in writing.
9. Force majeure
We shall not be liable for any delay or failure in performance caused by events beyond our reasonable control, including but not limited to extreme weather, fire, flood, pandemic, epidemic, civil unrest, terrorism, strikes, labour disputes, transport disruption, power failure, telecommunications failure, acts of government, or failure of third-party systems or suppliers.
If a force majeure event occurs, we may suspend or modify services for the duration of the event. We will use reasonable efforts to mitigate the effects and resume performance as soon as practicable.
10. Changes to terms
We may update or amend these Terms from time to time to reflect changes in law, regulation, operational practice, or our services. The updated Terms will apply from the date stated in the revised version or, if no date is stated, upon publication or notification to you.
Where changes materially affect your rights or obligations, we will use reasonable efforts to provide notice. Continued use of our services after the effective date of any change constitutes acceptance of the revised Terms.
11. Applicable law and jurisdiction
These Terms, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms, subject to any mandatory legal rights that cannot be excluded.

13. Severability clause
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid, lawful, and enforceable, or, if that is not possible, severed from these Terms.
The remaining provisions shall continue in full force and effect. Any failure or delay by Apex Shield Security Ltd to enforce any right or provision under these Terms shall not constitute a waiver of that right or provision.
